Terms of Service

1. The agreement

1.1 These Terms of Service ("Terms") are a binding agreement between you and Price Peer Corp., operating as FuelFi ("FuelFi", "we", "us"), governing your access to and use of fuelfi.ca and the FuelFi web application, including all content, features and related services (the "Service").

1.2 You accept these Terms when you create an account by agreeing to them when you enter your phone number to sign up. If you use parts of the Service without an account, you accept these Terms by using it. Our Privacy Policy and the raffle's Official Rules form part of these Terms.

1.3 If you do not agree to these Terms, do not use the Service.

2. Definitions

• "Account" means your FuelFi account, identified by your mobile phone number.
• "Content" means price reports, photos, ratings, station suggestions, usernames, display names, feedback, messages and any other material you submit to the Service.
• "Points" means the non-monetary reward units awarded through the Service.
• "Third-Party Information" means prices, station details and other information obtained from sources other than FuelFi users, including information published by stations, publicly available price information from other websites and services, and government and other public data.

3. Eligibility and your Account

3.1 You must be at least 18 years of age and able to form a binding contract.

3.2 You may hold one Account, registered to a mobile phone number you own or are authorized to use. You are responsible for keeping access to that phone secure and for all activity on your Account. Tell us promptly at privacy@fuelfi.ca if you believe your Account has been used without your permission.

3.3 You consent to receive text messages containing one-time sign-in codes at the number you provide. These are transactional messages required to operate your Account. Your carrier's message and data rates may apply. We will not send you promotional text messages or commercial electronic messages without your separate express consent.

4. Using the Service

4.1 Price reports. You agree to report only prices you personally observe at the station, at the time of reporting, and to submit reports only while you are at the station.

4.2 Prohibited conduct. You must not:
(a) submit false, misleading, duplicated or automated Content;
(b) create or use more than one Account, or use another person's Account;
(c) manipulate or attempt to manipulate prices, ratings, Points, rankings or the raffle;
(d) access the Service by automated means, including bots and scraping, or copy its data in bulk;
(e) interfere with, overload, probe or breach the security of the Service;
(f) upload Content that is unlawful, infringing, defamatory, or that includes images of identifiable people or vehicle licence plates; or
(g) use the Service for any unlawful purpose.

4.3 Our measures. We may, at our discretion and without liability, reject, remove or decline to display any Content; adjust, withhold or remove Points; and suspend or close an Account that we reasonably believe has breached these Terms.

5. Information on the Service

5.1 Where our information comes from. FuelFi compiles prices and station information from multiple sources: reports from FuelFi users, and Third-Party Information, including information published by stations, publicly available price information from other websites and services, and public data. We collect, aggregate, compare and process this information to show prices, averages and estimates. Prices that did not come from FuelFi users' reports are identified as such in the Service.

5.1A Prices, price histories, averages, ratings, trip and savings estimates, border-crossing costs and exchange rates are provided for general information only. They can be inaccurate, incomplete or out of date, and prices change frequently.

5.2 You are responsible for confirming the price at the pump before purchasing. We do not guarantee the accuracy, availability or timeliness of any information on the Service and are not responsible for decisions you make in reliance on it.

6. Your Content

6.1 You keep ownership of your Content. You grant FuelFi a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable and sublicensable licence to use, reproduce, store, adapt, publish, display and distribute your Content in connection with operating, improving and promoting the Service. The licence continues after your Account is closed, when your Content is retained in de-identified form as described in the Privacy Policy.

6.2 To the extent permitted by law, you waive any moral rights you may have in your Content in favour of FuelFi and its licensees.

6.3 You represent that you have all rights needed to submit your Content and that it complies with these Terms.

6.4 Feedback and suggestions you send us may be used by us without restriction or compensation.

7. Points and the raffle

7.1 Points have no cash value, are not property, and cannot be sold, transferred or inherited. They can be redeemed only for what the Service offers at the time. If and when the weekly raffle is running, that may include additional raffle entries, as described in the Official Rules. Points you earn before the raffle starts stay on your Account for that purpose, but redemption is not guaranteed and the raffle may not always be running. We may change how Points are earned or redeemed, set or change expiry, or end the Points program, with notice in the Service.

7.2 The weekly raffle is governed by its Official Rules. If those rules conflict with these Terms on a raffle matter, the Official Rules prevail. Rewards and payouts are available only as described in the Service at the time.

8. Intellectual property

The Service, including its software, design, text, graphics, compilations of data and the FuelFi name and marks, is owned by Price Peer Corp. or its licensors and protected by law. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended personal, non-commercial purpose in accordance with these Terms.

9. Third-party services

The Service relies on and may link to third-party services, such as mapping, text messaging and fuel-economy data. We are not responsible for third-party services, and your use of them may be subject to their terms.

10. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free.

11. Limitation of liability

11.1 To the maximum extent permitted by applicable law, FuelFi and its directors, officers, employees and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, savings, data or goodwill, arising out of or relating to the Service or these Terms.

11.2 To the maximum extent permitted by applicable law, our total liability for all claims relating to the Service or these Terms is limited to CAD $100.

11.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence or intentional fault, or rights you have as a consumer under the laws of the province or state where you live.

12. Indemnity

To the extent permitted by applicable law, you agree to indemnify FuelFi against claims, losses and expenses (including reasonable legal fees) arising from your Content or your breach of these Terms. This section does not apply to consumers resident in Quebec.

13. Suspension and termination

13.1 You may stop using the Service and delete your Account at any time in Profile > Delete account.

13.2 We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. We may also modify or discontinue the Service or any feature.

13.3 Sections 5, 6, 7.1, 8, 10, 11, 12, 15 and 16 survive termination.

14. Changes to these Terms

14.1 We may amend these Terms. We will post the amended Terms with a new "Last updated" date.

14.2 For amendments that are significant, we will notify you in the Service or by the contact details on your Account at least 30 days before they take effect. The notice will set out the new or amended clauses, how they read before the change where applicable, and the date they take effect.

14.3 If you do not accept an amendment, you may close your Account at any time before or after it takes effect, without cost or penalty. Continuing to use the Service after an amendment takes effect means you accept it.

15. Governing law and disputes

15.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario.

15.2 Subject to section 15.3, you and FuelFi submit to the exclusive jurisdiction of the courts of the Province of Ontario.

15.3 If you are a consumer, nothing in these Terms deprives you of the protection of mandatory consumer protection laws of the place where you live, or of the right to bring proceedings in your local courts where that law gives you that right. Quebec residents may bring proceedings in Quebec, and these Terms do not deprive them of any right under the Quebec Consumer Protection Act or Civil Code.

16. General

16.1 Entire agreement. These Terms, the Privacy Policy and the Official Rules are the entire agreement between you and FuelFi about the Service.

16.2 Severability. If any provision is held invalid or unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain in effect.

16.3 No waiver. Our failure to enforce a provision is not a waiver of it.

16.4 Assignment. You may not assign these Terms. We may assign them in connection with a merger, reorganization or sale of the business.

16.5 Force majeure. We are not responsible for failures caused by events beyond our reasonable control.

16.6 Notices. We may give you notice in the Service or by the contact details on your Account. You may give us notice at privacy@fuelfi.ca.

16.7 Language. These Terms are published in English.
